Dr. Lawrence Harris serves as Lead Independent Director. The Lead Independent director is responsible for presiding at the executive sessions of the independent directors, calling of meetings of independent directors, serving as liaison between the independent directors and the Chairman, and, if requested by stockholders, ensuring that he is available, when appropriate, for direct communication. Our Audit Committee is comprised of Dr. Lawrence Harris (Chairman), Ms. Nicole Yuen and Mr. Richard Repetto, each of whom is an independent director within the meaning of the rules of Nasdaq and the SEC. Dr. Harris is an audit committee financial expert as defined in the SEC rules.
