Ronald Mitchell was appointed to our board of directors in March 2023 in connection with the Cooperation Agreement with Indaba Capital Management, L.P. (Indaba), dated March 11, 2023. Mr. Mitchell serves as a Class I director with a term expiring at the Annual Meeting. On March 17, 2025, the Company and Indaba came to an arrangement that if the Board (i) renominated Mr. Mitchell for election at the Annual Meeting and recommended, supported and solicited proxies for the election of Mr. Mitchell at the Annual Meeting in the same manner as for all other director nominees, and (ii) maintains Mr. Mitchell as a member of the Nominating and Corporate Governance Committee of the Board, in exchange, Indaba agreed that it would not conduct a proxy fight at the Annual Meeting and it will not conduct any public campaign or make any public statements regarding the Issuer before the earlier of: (i) August 15, 2025; or (ii) the day after the public release of the Issuer's earnings for the second quarter of 2025.
