Mr. Morgan serves as the Lead Independent Director of the Board and chair of the Audit Committee. The Board believes that Mr. Morgan s accounting and financial expertise and strong familiarity with the Company and the Board make him well qualified to serve as the Lead Independent Director of the Board.
