the former non-executive Chairman of the Board of Directors until his transition to Chairman Emeritus on April 24, 2025, provided us with significant value given his experience in the financial services industry, including mergers and acquisitions, capital and liquidity management and other operating matters, such as key personnel hires. In addition to the fees paid to our former non-executive Chairman of the Board of Directors described above, we also granted the former non-executive Chairman of the Board of Directors a restricted stock unit, or RSU, award representing 30,000 shares each year. This RSU award cliff vests on the third anniversary of the date of grant. The RSU award agreement also provides for pro rata vesting upon termination without cause, death or disability. Commencing in 2019, all equity award agreements, including the RSU awards granted to the former non-executive Chairman of the Board of Directors, contain double trigger provisions, which require termination without cause within the six months preceding or the twelve months following a change in control in order for the equity awards to vest in connection with a change in control. Mr. Gerald J. Ford served as Chairman Emeritus to the Board of Directors of the Company until his resignation on July 8, 2025. As a result, all unvested RSUs awarded to Mr. Gerald J. Ford were forfeited upon his resignation.
