Gayle Deflin serves as a member of our Board of Directors and is the chair of our audit committee. Ms. Deflin is an audit committee financial expert as the term is defined under SEC regulations. Based on information provided by each director nominee and director concerning his or her background, employment and affiliations, our Board of Directors has determined that Ms. Deflin does not have a relationship that would interfere with the exercise of independent judgment in carrying out the responsibilities of a director and that she is independent as that term is defined under the listing standards of Nasdaq.
