David Gaugh was appointed to our Board of Directors on July 18, 2025. In connection with his appointment to our Board of Directors on July 18, 2025, Mr. Gaugh received an equity award with a grant date fair value of $260,000 comprised of 50% restricted stock units and 50% stock options, which vest on the first anniversary of the date of grant, subject to Mr. Gaugh's continued service through the vesting period. Mr. Gaugh will replace Mr. Petersen as a member of our compensation committee following the Annual Meeting, and our compensation committee will be comprised of Mr. Prins, Dr. Zasloff, and Mr. Gaugh, with Mr. Prins serving as chair.
