Former President and Chief Executive Officer. Mr. Rutten retired from his role effective December 31, 2025. He continued to serve as a strategic advisor to the Company through March 31, 2026 and remains on the Board of Directors following his retirement. Under the terms of his Retirement Agreement, Mr. Rutten received his current base salary and benefits through March 31, 2026 and was eligible to receive a bonus under the 2025 annual incentive program. Beginning April 1, 2026, he transitioned to the standard non-employee director compensation program. His outstanding equity awards will continue to vest in accordance with their terms for so long as he is a service provider to the Company, and he will receive certain medical benefits through fiscal 2026 year end.
